Introduction

Welcome to SwiftPrep. These Terms of Service ("Terms") govern your use of the SwiftPrep desktop application and related services ("Service") provided by SwiftPrep ("we," "our," or "us").

By downloading, installing, or using SwiftPrep, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Account Registration

To access certain features of SwiftPrep, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription Tiers and Pricing

SwiftPrep offers the following subscription options:

Free Tier - $0/month

• Full access to the SwiftPrep desktop application
• Local campaign management features
• Unlimited campaigns, NPCs, and locations
• No AI features included

Companion Tier - $7.99/month

• All Free tier features
• AI-powered content generation
• Monthly AI token allocation
• Standard response priority

Power Tier - $14.99/month

• All Companion tier features
• Increased AI token allocation
• Priority AI response times
• Early access to new AI features
• Premium support

Prices are in USD and may vary by region. Subscription fees are billed monthly or annually based on your selection. All fees are non-refundable except as required by law.

Pay-As-You-Go Credits

In addition to subscription tiers, SwiftPrep offers pay-as-you-go AI credits:

• Purchase credits as needed without a subscription
• Credits never expire
• Use credits for AI generation when your subscription allowance is exhausted
• Credit pricing is displayed in the application at time of purchase

Pay-as-you-go credits are non-refundable and non-transferable.

Acceptable Use Policy

You agree to use SwiftPrep only for lawful purposes. The following activities are prohibited:

Prohibited Content

• Content that promotes hate, violence, or discrimination
• Illegal content or content that facilitates illegal activities
• Content that infringes on intellectual property rights
• Sexually explicit content involving minors
• Content designed to harass or harm others

Prohibited Activities

• Attempting to circumvent license restrictions or authentication
• Reverse engineering, decompiling, or disassembling the software
• Using automated systems to abuse AI features
• Sharing account credentials with unauthorized users
• Reselling or redistributing SwiftPrep without authorization
• Interfering with or disrupting the Service

Violation of this policy may result in immediate account termination without refund.

Intellectual Property Rights

SwiftPrep Ownership

SwiftPrep, including its software, design, logos, and documentation, is owned by SwiftPrep and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

Your Content

You retain ownership of all content you create using SwiftPrep, including:

• Campaign narratives and stories
• NPCs, locations, and items you design
• Session notes and plans
• Any other creative content you produce

AI-Generated Content

Content generated by SwiftPrep's AI features:

• Is licensed to you for personal and commercial use
• Should be reviewed for accuracy before use
• May be similar to content generated for other users
• Does not constitute a work made for hire

User License Grant

By using SwiftPrep, you grant us a limited license to:

• Store and process your data to provide the Service
• Use anonymized data to improve our products
• Display your username in community features (if applicable)

Disclaimers

Service Provided "As Is"

SWIFTPREP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI Limitations

• AI-generated content may contain errors or inaccuracies
• AI responses should be reviewed before use in gameplay
• We do not guarantee AI availability or response times
• AI capabilities may change as technology evolves

Third-Party Content

SwiftPrep may integrate with third-party services (e.g., D&D Beyond, virtual tabletops). We are not responsible for the availability, accuracy, or content of third-party services.

Game System References

References to game systems like Dungeons & Dragons are for compatibility purposes only. SwiftPrep is not affiliated with or endorsed by Wizards of the Coast or other game publishers.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DATA LOSS DUE TO HARDWARE FAILURE, SOFTWARE BUGS, OR USER ERROR

You acknowledge that you are responsible for maintaining backups of your campaign data.

Dispute Resolution and Arbitration

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@swiftprep.app to attempt informal resolution. We will work in good faith to resolve issues within 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules.

• Arbitration will be conducted in English
• The arbitrator's decision is final and binding
• You waive the right to participate in class actions

Exceptions to Arbitration

The following disputes are exempt from arbitration:

• Claims for injunctive relief for intellectual property infringement
• Small claims court matters within jurisdictional limits
• Disputes where arbitration is prohibited by applicable law

Opt-Out Right

You may opt out of the arbitration agreement by sending written notice to legal@swiftprep.app within 30 days of creating your account.

Termination

Termination by You

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your billing period
• Your data remains accessible in the free tier
• No refunds are provided for partial billing periods

Termination by Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Extended periods of inactivity (with prior notice)
• Discontinuation of the Service

Effect of Termination

Upon termination:

• Your license to use SwiftPrep ends
• We may delete your account data after 30 days
• Provisions that by their nature should survive will survive (e.g., intellectual property, limitation of liability)

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Displaying a notice in the application
• Sending an email to your registered address
• Posting updates on our website

Continued use of SwiftPrep after changes constitutes acceptance of the modified Terms.

General Provisions

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SwiftPrep regarding the Service.

No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
